Terms of Service

1. Definitions

• “Product” means the indiegoon SaaS boilerplate source code, associated documentation, CLI tools, and any updates thereto.
• “License” means the non-exclusive, non-transferable right to use the Product pursuant to the tier purchased (Starter, Pro, or Bundle).
• “License Key” means the unique alphanumeric credential issued by DodoPayments upon completed purchase, required to activate and access the Product.
• “Licensee” / “you” means the individual or legal entity that purchases a License.
• “Activation” means the binding of a License Key to a specific development machine via the indiegoon CLI.
• “End Product” means any application, website, or service built by you using the Product as a foundation.

2. Acceptance of Terms

By completing a purchase or activating a License Key, you agree to be legally bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not purchase or use the Product.

3. License Grant

3.1 Scope of License

Subject to these Terms and payment in full, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable license to use, modify, and deploy the Product to create unlimited End Products for personal or commercial purposes.

3.2 License Tiers and Activation Limits

Each License Key may be activated on the number of distinct machines specified by your tier. You may deactivate a machine at any time using npx create-goon-app deactivate to free an activation slot.

3.3 What You May Do

• Use the Product to build unlimited End Products for yourself or your clients.
• Modify, adapt, and extend the source code for any lawful purpose.
• Deploy End Products to any hosting provider or infrastructure.
• Use in both personal and commercial projects without attribution.

3.4 Restrictions (What You May NOT Do)

• Redistribute, resell, sublicense, or publicly share the Product source code (in whole or in part) as a standalone product, template, boilerplate, or starter kit.
• Share, transfer, publish, or disclose your License Key to any third party.
• Create a competing product that is substantially similar in purpose to indiegoon (i.e., a SaaS boilerplate or code template sold to developers).
• Circumvent, disable, or interfere with the license activation or validation mechanisms.
• Use the Product for any purpose that violates applicable law.
• Claim authorship of the unmodified Product code.

4. Intellectual Property

All intellectual property rights in and to the Product (including source code, documentation, design, branding, and the indiegoon name) remain exclusively with us. The License grants you usage rights only; it does not transfer ownership of any intellectual property.

You retain full ownership and intellectual property rights to the End Products you create using the Product, including any custom code, content, designs, and modifications you add.

5. Payment and Delivery

• All prices are in USD and are one-time charges. No recurring fees.
• Payments are processed by DodoPayments, which acts as the Merchant of Record. By purchasing, you also agree to DodoPayments' terms of service.
• Upon successful payment, your License Key is generated automatically and delivered to the email address provided at checkout.
• Delivery is instantaneous and electronic. No physical goods are shipped.

6. Refund Policy

We offer a 14-day refund window from the date of purchase. To request a refund, email hi@indiegoon.dev with your order details.

Refund conditions:

• Upon refund, your License Key is immediately revoked and all activations are invalidated.
• You must delete all copies of the Product source code in your possession.
• End Products already deployed in production may continue to operate, but you may not continue to develop or modify them using the Product code after refund.
• Refunds are processed to the original payment method within 5–10 business days.

7. Updates

All license tiers include lifetime access to Product updates. Updates are delivered via the indiegoon CLI or direct download. We reserve the right to discontinue active development at any time, but your License and access to the last published version shall survive indefinitely.

8. Support

• All tiers: Access to the indiegoon Discord community and documentation.
• Pro: Priority Discord channel access.
• Bundle: Direct email support, 1:1 architecture review session, and deployment assistance.

Support is limited to issues directly related to the Product itself. We are not obligated to provide support for your End Products, custom modifications, third-party integrations, or deployment infrastructure.

9. Termination

We may terminate or suspend your License immediately, without prior notice, if you:

• Breach any provision of these Terms (including the Restrictions in Section 3.4).
• Engage in unauthorized redistribution of the Product.
• Attempt to reverse-engineer, circumvent, or abuse the license activation system.

Upon termination for breach, your License Key is revoked, all activations are invalidated, and you must destroy all copies of the Product. End Products already lawfully deployed prior to termination may continue to operate in their then-current state.

10. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL MEET YOUR SPECIFIC REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INDIEGOON, ITS OWNERS, OFFICERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR YOUR LICENSE.

12. Indemnification

You agree to indemnify, defend, and hold harmless indiegoon and its owners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Product; (b) your End Products; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in accordance with applicable arbitration rules, or pursue resolution in the courts of competent jurisdiction in India.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and indiegoon regarding the Product and supersede all prior negotiations, representations, or agreements relating to the same subject matter.

16. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your License. Changes do not apply retroactively to licenses purchased before the amendment date. Continued activation or use of the Product after notification constitutes acceptance of the amended Terms.
